Certificate of Existence

A document issued by the Secretary of State evidencing that a company is in existence and authorized to conduct business in that state. The document generally states that the company is active, the date of its formation and that a dissolution has not been filed. If a company fails to file a required annual report or registration with the Secretary of State, and pay any outstanding fees, the company may fall out of good standing. Also known as a “Certificate of Good Standing”.
